1. Agreement & Platform Services
These Terms of Service ("Terms") constitute a legally binding contract between you (or the corporate entity you represent) and SOLARC GOODS LIMITED. By accessing or using Solarc Platform software (including ShipStory, DocFlow, FlowDesk, SalesPilot, APIs, and associated web services), you agree to be bound by these Terms.
2. IP Ownership of AI Output & Human Review Principle
Ownership: You retain exclusive ownership of all source input data. To the maximum extent permitted by law, SOLARC GOODS LIMITED assigns to you all intellectual property rights in any generated text, summaries, evidence cited announcements, and document outputs ("Generated Output") produced by Solarc Platform software.
Human Review Responsibility: Solarc software is engineered to assist operational workflows. Due to the inherent nature of machine learning, you acknowledge and agree that you maintain ultimate responsibility for conducting human review and verification of Generated Outputs prior to public release, commercial deployment, or reliance in financial/legal matters.
3. Acceptable Use & Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to extract source algorithms from Solarc Platform services.
- Use the software to transmit unlawful, fraudulent, infringing, or malicious content.
- Bypass rate limits, security controls, or access permissions.
4. Limitation of Liability & 12-Month Cap (Commercial Protection)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLARC GOODS LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUE.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF SOLARC GOODS LIMITED ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO SOLARC GOODS LIMITED IN THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM.
5. Governing Law & Exclusive Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree that the courts of England and Wales shall have exclusive jurisdiction.
